Proposed Bylaw Amendment
October 2009

The Board of Directors of the Eno River Association recommends to the members of the Association that Article IX of the Bylaws, pertaining to the date of the Association’s Annual Meeting, be amended to delete the requirement that the Annual meeting be held in October each year.

Proposed revision:

Article IX. Section 1. There shall be an annual meeting of the association held in October each year at a time and place to be decided upon by the Board of Directors.

Background Information:

Currently the Bylaws state that the Annual Meeting will be held in October of each year. This provision was changed in 2006 when the Association changed its fiscal year to coincide with the calendar year. Before 2006 the Bylaws called for an annual meeting to be held within sixty days of the end of the fiscal year.
